A shareholding percentage does not have the same effect for every resolution. Review statute, articles, shareholders agreement, voting exclusions and the capital represented at the meeting before treating the position as a blocking minority.

Rights and duties

A blocking minority is not one fixed shareholding percentage for all decisions. Its effect depends on the majority required by statute or the articles for the specific resolution. Voting exclusions, special rights and the share capital represented at the meeting can alter the result.

A formally effective blocking position remains subject to corporate duties. A negative vote is not disloyal merely because it frustrates the majority. Defence in capital measures

For a capital increase, the funding need, issue amount, subscription terms and new ownership ratios must be assessed together. Dilution is not unlawful merely because the minority loses percentage points. The arrangement becomes problematic where financing purpose and chosen terms do not fit or where equal treatment and fiduciary duties are breached.

The proposed resolution, subscription conditions, valuation and intended use of funds should be available before the vote. A defective resolution may require a resolution challenge or nullity review. That procedure does not replace the commercial assessment of whether and on what terms new capital is actually needed.

When is there a blocking minority?

That depends on the majority required for the specific resolution, voting rights and the articles. Twenty-five per cent plus one vote is only a typical starting point for certain three-quarter majorities.

Does a negative vote automatically breach fiduciary duty?

No. The purpose, effect on the GmbH, substantive reasons and available alternatives matter. A purely harmful blockade can nevertheless be legally vulnerable.

May the majority dilute a blocking minority through a capital increase?
